Eric has over nine years of experience advising companies and boards, including rendering fairness and solvency opinions for the purpose of transactions such as buy side and sell side M&A, leveraged buyouts, asset sales, related-party transactions, spin-offs, recapitalizations and ESOP transactions.
Some of Eric’s noteworthy fairness and solvency opinion engagements include rendering the following opinions:
- Flex Ltd. (NasdaqGS:FLEX): rendered a fairness opinion in connection with Flex Ltd.’s sale of convertible preferred shares in its wholly owned subsidiary, Nextracker Inc. to TPG
- GenOn Holdings LLC: rendered numerous solvency opinions in connection with leveraged dividend recapitalization transactions
- KKR Global Infrastructure Investors III L.P. and KKR Global Infrastructure Fund IV: rendered a fairness opinion in connection with the acquisition of a stake in Port Arthur LNG, LLC
- Westmoreland Mining Holdings LLC: rendered a fairness and solvency opinion in connection with a financial restructuring that included the distribution of WestMET
- Marlin Equity Partners: rendered a fairness opinion in connection with a continuation fund transaction for their portco Medius AB
- TLG Acquisition One Corp.: rendered a fairness opinion in connection with a de-SPAC transaction with Electriq Power Inc.
- Frontier Communications Corporation (NasdaqGS:FTR): rendered a fairness opinion in connection with the sale of assets in four states
- Hertz Global Holdings, Inc. (NYSE:HTZ): rendered a solvency opinion in connection with the spin-off of its equipment rental business, Herc Holdings Inc. (NYSE:HRI)
