Brian Sipes

Managing Director

Brian Sipes is a managing director in the Transaction Advisory Services practice, based in Dallas. Brian leverages more than 30 years of accounting, transaction advisory and due diligence experience working with private equity and corporate clients.

Prior to joining Kroll, Brian served as a director in and founding member of Houlihan Lokey’s Transaction Advisory Services group. Before that, he held the title of director of Corporate Development for Flowserve Corporation, where he led the global acquisition and divestitures activities and assessed strategic alternatives for the S&P 500 industrial manufacturer. Prior to this, he was a director in PricewaterhouseCoopers’ Transaction Services Practice providing mergers and acquisitions support to financial and strategic buyers and sellers. Brian began his career with Deloitte & Touche providing audit services to manufacturing and healthcare companies.

Brian specializes in buy-side and sell-side financial due diligence bringing extensive experience in analyzing the quality of earnings, key business and earnings drivers, financial projections and working capital along with the review of purchase agreements and post-closing purchase price disputes. Brian has advised on over 500 transactions ranging in size from less than $5 million to $5 billion, encompassing a wide array of industries, including manufacturing, business services, energy, distribution, food and beverage, consumer products, building materials, transportation, healthcare and financial services.

Brian received a BBA in accounting from Bucknell University and an MBA in finance and management strategy from Northwestern University’s Kellogg School of Management. He is a Certified Public Accountant and holds FINRA Series 7, 79 and 63 licenses.
